These Terms of Use govern your use of the ESP Innovations Inc. (“ESPi,” “we,” “us”) website, including the client portal. By using the site, you agree to these terms. If you don’t agree, please don’t use the site.
Business use only
ESPi works business to business. The site and portal are intended for use by businesses and their authorized representatives. By using them, you confirm you are acting on behalf of a business.
Information on this site
Content on this site, including product descriptions, past products and industry news, is provided for general information. Products shown represent past work we are able to share and may no longer be available. News stories link to their original publishers; ESPi is not affiliated with the companies mentioned and is not responsible for third-party content.
Quotes and orders
Nothing on this site is an offer to sell. Pricing, quantities, timelines and specifications are quoted for each account. Orders and reorder requests placed through the portal are requests only and are not binding until ESPi confirms them in writing. Each project is governed by the written agreement, quote or purchase order agreed between ESPi and your business, which controls if it conflicts with these terms.
Payment methods saved in the portal are used only after you approve ESPi’s quote for an order. Net terms are available only once approved in writing by ESPi. Wire instructions are provided with your invoice; ESPi will never change wire details by email alone.
Portal accounts
If your business has a portal account, you are responsible for keeping your login details confidential and for activity under your account. Let us know right away at orders@espinnovations.com if you believe your account has been used without permission.
Acceptable use
Please don’t misuse the site. For example, don’t try to gain unauthorized access, interfere with its operation, send spam or harmful code through our forms, or copy its content for commercial use.
Intellectual property
The ESP Innovations name, logo, ESPi brand, site design and content are owned by ESPi or its licensors and protected by law. Other product names and trademarks belong to their owners. You may not use them without permission.
Confidential information you share
If you share product ideas or business information with us, we treat it as confidential. Where you need more formal protection, we’re happy to sign a non-disclosure agreement before you share details.
Disclaimer
The site is provided “as is” and “as available.” To the fullest extent allowed by law, ESPi disclaims all warranties about the site, express or implied, including accuracy, availability and fitness for a particular purpose.
Limitation of liability
To the fullest extent allowed by law, ESPi will not be liable for any indirect, incidental, special or consequential damages arising from your use of the site. This does not limit any obligations in a separate written agreement between ESPi and your business.
Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute relating to the site will be brought in the state or federal courts located in Los Angeles County, California.
Changes
We may update these terms from time to time. The effective date at the top shows when they last changed.
